TERMS & CONDITIONS

The following are the payment options used by Quest 4 Health Inc. Not all options are available to all Users.
1. Insured Healthcare Services. Insured Healthcare Services do not require payment of Fees. To access Insured Healthcare Services, you must have a valid health card or personal health number for the province or territory in which your visit is to be claimed by Authorized Providers, and you must have active coverage for the date you are receiving applicable Healthcare Services. You have a limit of one consultation with an Authorized Provider covered by a Health Plan each calendar day that the Healthcare Service is offered. If the Health Plan deems that you are ineligible for coverage of Healthcare Services, your payment of the Fees may apply. Any Uninsured Healthcare Services delivered in addition to our Insured Healthcare Services will require payment of the Fees, and you may choose to pay using the pay-per-visit or membership options.
2. Pay-per-visit option. You may pay the Fees for Uninsured Healthcare Services at the time you request Healthcare Services. Quest 4 Health Inc. requires you to submit credit card information prior to the provision of any Healthcare Services for the purpose of validation of the card. You will not be able to begin accessing Healthcare Services through the Quest 4 Health Inc. Platform if the credit card information you provide is inaccurate and/or if your credit card is declined at the point of validation. You agree that Quest 4 Health Inc., on behalf of Authorized Providers, may validate your credit card and put a hold on it in the amount of the Fees. Quest 4 Health Inc. will notify you of any applicable Fees and will only have the charge processed to your credit card after you have obtained the corresponding Healthcare Services. Quest 4 Health Inc. will provide you with a receipt for the Fees you pay.
3. Membership option. Quest 4 Health Inc. may allow you to purchase access to certain specified Uninsured Healthcare Services during a fixed membership term for a flat fee (“Membership Fee”). Quest 4 Health Inc. will notify you of the applicable Membership Fee and the Uninsured Healthcare Services that are covered by the Membership Fee in any given year, and will have the Membership Fee processed to your credit card before the first time you obtain Uninsured Healthcare Services under your membership. For the duration of your membership, you will not be charged additional fees for any Uninsured Healthcare Services covered by your membership. The only additional fees that would be charged to you would be the Fees for Uninsured Healthcare Services that are not covered under your membership and accordingly not covered by your Membership Fee. For access to Uninsured Healthcare Services not covered by your membership, you must use the pay-per-visit option. Your membership will automatically renew and you will accordingly process the annual payment until the membership is canceled by you in the billing section of your Account. settings. In the event of an increase in the Membership Fee, we will notify you in advance, and ask whether you want to continue your membership. Your Membership Fee is non-refundable, except where Quest 4 Health Inc. terminates your access to the Quest 4 Health Inc. Platform, in which case Quest 4 Health Inc. will give you a pro-rata refund of your Membership Fee. For clarity, Quest 4 Health Inc. will refund the portion of your Membership Fee corresponding to the number of months remaining on your membership on the date of termination.
4. Third Party Payment/Coverage. Quest 4 Health Inc. may permit a third party (for example, an employer or insurer) to pay the Fees and/or Membership Fee, (the third party and Quest 4Health Inc. determine which of these payment options apply), for some or all Uninsured Healthcare Services provided to a User or group of Users. In these circumstances, Quest 4 Health Inc. has a contract with the third party under which the third party discloses personal information including the name, email address, and other contact information of the User(s) for whom they will pay the Fees or Membership Fee for some or all Uninsured Healthcare Services. Please consult our privacy policy for more information about the personal information we collect from third-party payers. Quest 4 Health Inc. is not a party to and has no control over the agreement between any User and third-party payer. Coverage by a third party does not release a User from the obligation to comply with these Terms except the Terms related to his or her direct payment of the Fees or Membership Fee being paid by such third party payer. As above, supplementary terms may apply to Users who have third-party coverage. Quest4 Health Inc. will inform Users of any changes to or termination of their third-party coverage. Users whose third-party coverage is terminated may be given the option of continuing to use the Quest 4 Health Inc. Platform under their existing Account. so long as they pay the Fees or Membership Fee in accordance with Sections 1 and 2 of this Article P.
5. Administration of Provider Fees for Uninsured Healthcare Services. Quest 4 Health Inc. facilitates payment of Provider Fees from you directly to Authorized Providers. Payment of the Provider Fees through the credit card validation and processing arrangement described above will be considered the same as payment made directly to the Authorized Provider.
6. Currency, Taxes. All Fees for Uninsured Healthcare Services are in Canadian dollars. Service Fees are inclusive of any applicable taxes based on your billing location.

General Provisions Entire Agreement. These Terms constitute the entire agreement and understanding of Quest 4 Health Inc. and you with respect to their subject matter, and replace and supersede all prior or contemporaneous agreements or undertakings regarding the subject matter. Governing Law. These Terms are governed by the laws of Ontario and the laws of Canada applicable therein, excluding any conflict of laws that would lead to the application of any other laws. By accessing the Quest 4 Health Inc. Platform, you agree that any disputes or matters arising from, connected with, or related to these Terms will be brought to the provincial and federal courts located in the City of Ottawa, Ontario. Non-assignment. These Terms are not assignable, transferable, or to be sublicensed by you except with Quest 4Health Inc.’s prior written consent. Quest 4 Health Inc. may assign, transfer, or delegate any of its rights and obligations hereunder without your consent. Links to External Websites. We provide links on the Quest 4 Health Inc. Platform to other websites or resources including those operated by parties other than Quest 4 Health Inc. for your convenience. Quest 4 Health Inc. is not responsible for the availability of such external websites or resources, does not endorse or accept responsibility for the content of such external websites or resources, and has no responsibility for or control over the terms of use or privacy policy of the operators of the external websites or resources. You access and view any third-party websites or resources at your own risk. For clarity, Quest 4 Health Inc. is not responsible even where we link you to those resources or refer you for your convenience. Severability: If any provision in these Terms is held to be invalid, void, or unenforceable, such provision (or the part of it that is making it invalid, void, or unenforceable) will be struck and not affect the validity of and enforceability of the remaining provisions. Contact Us. If you have questions about the Quest 4Health Inc. Medical Group, as applicable, retain all rights, titles, and interest in and to the Site, the Services, and any information, products, documentation, software, or other materials on the Site, and any patent, copyright, trade secret, trademark, service mark, or other intellectual property, or proprietary right in any of the foregoing, except for information on the Site licensed by Quest 4 Health inc. or Quest 4 Health inc. Medical Group (in that case, the license provider retains all rights, titles, and interests therein). The information available through the Site and the Services is the property of Quest 4 Health Inc. or Quest 4 Health Inc. Medical Group, as applicable. You agree not to store, copy, modify, reproduce, retransmit, distribute, disseminate, rent, lease, loan, sell, publish, broadcast, display, or circulate such information to anyone. Use, reproduction, copying, or redistribution of Quest 4 Health Inc. or Quest 4 Health Inc. Medical Group trademarks, service marks, and logos are strictly prohibited without the prior written permission of Quest 4 Health Inc. or Quest 4 Health Inc. Medical Group, as applicable. The immediately foregoing sentence also applies to any third-party trademarks, service marks, and logos posted on the Site. Nothing contained on the Site should be construed as granting, by implication, estoppel, waiver, or otherwise, any license or right to use any trademarks, service marks, or logos displayed on the Site without the written grant thereof by Quest 4 Health Inc., Quest 4Health inc. Medical Group or the third party owner of such trademarks, service marks, and/or logos. The Site may contain other proprietary notices and copyright information, the terms of which you agree to follow. Quest 4 Health Inc. may delete any information provided by you that it deems in its sole discretion fraudulent, abusive, defamatory, obscene, or in violation of copyright, trademark, or other intellectual property or ownership right of any other person or entity. Disclaimer of Warranties QUEST 4 HEALTH INC. DOES NOT WARRANT THAT ACCESS TO OR USE OF THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT DEFECTS IN THE SITE WILL BE CORRECTED. TO YOU WITH RESPECT TO YOUR USE OF THIS SITE IS $500 (FIVE HUNDRED DOLLARS). YOU HEREBY AGREE TO WAIVE, TO THE FULLEST EXTENT PERMITTED BY LAW, ALL LAWS THAT LIMIT THE EFFICIENCY OF SUCH INDEMNIFICATIONS OR RELEASES. No Third Party Rights Unless expressly stated in the Terms of Use to the contrary, nothing herein is intended to confer any rights or remedies on any persons other than you, Quest 4 Health Inc., Quest 4 Health Inc. Medical Group, and its affiliates. Nothing in the Terms of Use is intended to relieve or discharge the obligation or liability of any third persons to you, Quest 4 Health Inc., Quest 4 Health Inc. Medical Group, and its affiliates, nor shall any provision give any third parties any right of subrogation or action over against you, Quest 4 Health inc., Quest 4Health inc. Medical Group, and its affiliates. Assignment You may not assign, transfer, or delegate the Terms of Use or any part thereof without Quest 4 Health Inc.’s prior written consent. Quest 4 Health Inc. may freely transfer, assign, or delegate all or any part of the Terms of Use, and any rights or duties hereunder or thereunder. The Terms of Use will be binding upon and inure to the benefit of the heirs, successors, and permitted assignees of the parties. Supplemental Terms Applicable to Providers These supplemental terms apply to Providers in addition to the other provisions of these Terms of Use. In the event of a conflict between the supplemental terms and any other terms herein, the supplemental terms shall prevail. To be a healthcare provider using the Site (“Provider” or “you”) you must be a licensed physician, nurse practitioner, or healthcare professional contracted or employed by Quest 4 Health Inc. Medical Group, and must agree to comply with all laws, medical board rules and other rules and regulations applicable to you as a Provider or otherwise. Your relationship with the Quest 4 Health Inc. users (including your Quest 4 Health Inc. Medical Group patients) is directly between you and the patient. The patient will never have a physician-patient relationship with Quest 4 Health Inc. Quest 4 Health Inc. does not practice medicine and offers no medical services. As set forth more fully below, the Provider is solely responsible for all agreements, consents, notices, and other interactions with patients and other consumers. Without limiting the generality of the foregoing, Provider and Quest 4 Health Inc. Medical Group is solely responsible for all billings and collections from patients and other consumers, and Quest 4 Health Inc. shall have no liability whatsoever to Provider with respect to any amounts owed by any patient or other consumer to Provider. Quest 4 Health Inc. does not provide any medical advice, legal advice, or representations in any way regarding any legal or medical issues associated with Provider, goods, or services offered by Provider, including but not limited to any compliance obligations or steps necessary to comply with any state or federal laws and regulations. Provider should seek legal counsel regarding any legal and compliance issues, and should not rely on any materials or content associated with the Services in determining Provider’s compliance obligations under law. Provider and Quest 4 Health Inc. agree that Quest 4 Health Inc. is not providing, to Customer or anyone else, medical advice or legal advice. Provider will use the Site and Services only in accordance with applicable standards of good medical practice. While software products such as the Site and Services can facilitate and improve the quality of service that Providers can offer patients, many factors, including the provider/patient relationship can affect a patient outcome, and with intricate and interdependent technologies and complex decision-making it is often difficult or impossible to accurately determine what the factors were and in what proportion they affected an outcome. Provider shall be solely responsible for its use of the Site and Services, and the provision of medical services to Provider’s patients. In this regard, Provider releases Quest 4 Health Inc. and waives any and all potential claims against Quest 4 Health Inc. as a result of Provider’s use of the Site and Services, and the provision of services to Provider’s patients. As a result of the complexities and uncertainties inherent in the patient care process, Provider agrees to defend, indemnify and hold Quest 4 Health Inc. harmless from any claim by or on behalf of any patient of Provider, or by or on behalf of any other third party or person claiming damage by virtue of a familial or financial relationship with such a patient, which is brought against Quest 4Health inc., regardless of the cause if such claim arises for any reason whatsoever, out of Provider’s use or operation of the Site and Services. To the extent applicable, Provider will obtain Quest 4 Health Inc.’s prior written consent to any settlement or judgment in which Provider agrees to any finding of fault of Quest 4 Health Inc. or defect in the Site or Services. Quest 4Health Inc. will promptly notify Provider in writing of any claim subject to this indemnification, promptly provide Provider with the information reasonably required for the defense of the same, and grant to Provider exclusive control over its defense and settlement. If you submit, upload, transmit, or post any consents, notices, advice, recommendations, comments, files, videos, images or other materials to us or our Site (“Provider Content”) or provide any Provider Content to patients or other consumers, you agree not to provide any Provider Content that (1) is defamatory, abusive, libelous, unlawful, obscene, threatening, harassing, fraudulent, pornographic, or harmful, or that could encourage criminal or unethical behavior, (2)violates or infringes the privacy, copyright, trademark, trade dress, trade secrets or intellectual property rights of any person or entity, or (3)contains or transmits a virus or any other harmful component. Provider is solely responsible for obtaining all necessary agreements and consents from, and providing all required notices to, patients and other consumers. You agree not to contact other users through unsolicited e-mail, telephone calls, mailings, or any other method of communication. You represent and warrant to Quest 4 Health Inc. that you have the legal right and authorization to upload all Provider Content at the Site. Quest 4 Health Inc. shall have a royalty-free, irrevocable, transferable right and license to use the Provider Content however Quest 4 Health Inc. desires, including without limitation, to copy, modify, delete in its entirety, adapt, publish, translate, create derivative works from and/or sell and/or distribute such Provider Content and/or incorporate such Provider Content into any form, medium or technology throughout the world. Quest 4 Health Inc. is and shall be under no obligation(1) to maintain any Provider Content in confidence; (2) to pay to you any compensation for any Provider Content; or (3) to respond to any Provider Content. Quest 4 Health Inc. does not regularly review Provider Content, but does reserve the right(but not the obligation) to monitor and edit or remove any Provider Content submitted to the Site. You grant Quest 4 Health Inc. the right to use the name that you submit in connection with any Provider Content. You agree not to use a false email address, impersonate any person or entity, or otherwise mislead as to the origin of any Provider Content. You are and shall remain solely responsible for the content of any Provider Content you post to the Site or provide to patients or other consumers. Quest 4 Health Inc. and its affiliate stake no responsibility and assume no liability for any Provider Content submitted by you or any third party. Dispute Resolution; Arbitration Agreement We will try to work in good faith to resolve any issue you have with the Site, including Products and Services ordered or purchased through the Site, if you bring that issue to the attention of our customer service department. However, we realize that there may be rare cases where we may not be able to resolve an issue to a customer’s satisfaction. You and Quest 4Health Inc. agree that any dispute, claim, or controversy arising out of or relating in any way to these Terms of Use or your use of the Site, including Products and Services ordered or purchased through the Site, shall be determined by binding arbitration instead of in courts of general jurisdiction. Arbitration is more informal than bringing a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury and is subject to very limited review by courts. Arbitration allows for more limited discovery than in court, however, we agree to cooperate with each other to agree to reasonable discovery in light of the issues involved and the amount of the claim. Arbitrators can award the same damages and relief that a court can award, but in so doing, the arbitrator shall apply substantive law regarding damages as if the matter had been brought in court, including without limitation, the law on punitive damages as applied by the Ontario Superior Court. You agree that, by agreeing to these Terms of Use, you and Quest 4 Health Inc. are each waiving the right to a trial or to participate in a class action. These arbitration provisions will survive termination of these Terms of Use and any other contractual relationship between you and Quest 4 Health Inc. If you desire to assert a claim against Quest 4 Health Inc., and you therefore elect to seek arbitration, you must first send to Quest 4 Health inc., by certified mail, a written notice of your claim (“Notice”). The Notice to Quest 4 Health Inc. should be addressed to: support@quest4health.co (“Notice Address”). If Quest 4 Health Inc. desires to assert a claim against you and therefore elects to seek arbitration, it will send, by certified mail, a written Notice to the most recent address we have on file or otherwise in our records for you. A Notice, whether sent by you or by Quest 4Health Inc., must (a) describe the nature and basis of the claim or dispute; and(b) set forth the specific relief sought (“Demand”). If Quest 4 Health Inc. and you do not reach an agreement to resolve the claim within 30 days after the Notice is received, you or Quest 4 Health Inc. may commence an arbitration proceeding or file a claim in small claims court. During the arbitration, the amount of any settlement offer made by Quest 4 Health Inc. or you shall not be disclosed to the arbitrator. If you are required to pay a filing fee, after Quest 4 Health Inc. receives notice at the Notice Address that you have commenced arbitration, it will promptly reimburse you for your payment of the filing fee, unless your claim is for more than CAD $10,000. The arbitration will be governed by the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (collectively, “AAA Rules”) of the American Arbitration Association (“AAA”), as modified by these Terms of Use, and will be administered by the AAA. The AAA Rules and Forms are available online at www.adr.org, by calling the AAA at 1-800-778-7879, or by requesting them from us by writing to us at the Notice Address. The arbitrator is bound by the terms of these Terms of Use. All issues are for the arbitrator to decide, including issues relating to the scope and enforceability of these Terms of Use, including this arbitration agreement. Unless Quest 4 Health Inc. and you agree otherwise, any arbitration hearings will take place in the county of your billing address. YOU AND QUEST 4HEALTH INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR ORITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANYPURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Quest 4 Health Inc. agree otherwise, the arbitrator may not consolidate more than one person’s claims with your claims, and may not otherwise preside over any form of a representative or class proceeding. The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim. If this Agreement to Arbitrate provision is found to be unenforceable, then (a) the entirety of this arbitration provision shall be null and void, but the remaining provisions of these Terms of Use shall remain in full force and effect. Force Majeure We will not be deemed to be in breach of these terms or liable for any breach of these terms or our privacy policy due to any event or occurrence beyond our reasonable control, including without limitation, acts of God, terrorism, war, invasion, failures of any public networks, electrical shortages, earthquakes or floods, civil disorder, strikes, fire or other disaster. Indemnification You agree to defend, indemnify, and hold harmless Quest 4 Health Inc., Quest 4 Health Inc. Medical Group, and any affiliates from and against any and all rights, demands, losses, liabilities, damages, claims, causes of action, actions, and suits (no matter whether at law or equity), fees, costs, and attorney’s fees of any kind whatsoever arising directly or indirectly out of or in connection with: (i)your use or misuse of the Site, Products or Services or any information posted on the Site; (ii) your breach of the Terms of Use or Privacy Policy; (iii) the content or subject matter of any information you provide to Quest 4 Health inc., Quest 4 Health inc. Medical Group, or any Provider or customer service agent; and/or (iv) any negligent or wrongful act or omission by you in your use or misuse of the Site, Products or Services or any information on the Site, including without limitation, infringement of third party intellectual property rights, privacy rights, or negligent or wrongful conduct. Revisions; General Quest 4 Health Inc. reserves the right, in its sole discretion, to terminate your access to all or part of this Site, with or without cause, and with or without notice. Quest 4 Health Inc. reserves the right to modify these Terms of Use at any time, effective upon posting. Any use of this website after such changes will be deemed an acceptance of those changes. You agree to review the Terms of Use each time you access this website so that you may be aware of any changes to these Terms. In the event that any of the Terms of Use are held by a court or other tribunal of competent jurisdiction to be unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary so that these Terms of Use shall otherwise remain in full force and effect. These Terms of Use constitute the entire agreement between Quest 4 Health Inc. and you pertaining to the subject matter hereof. In its sole discretion, Quest 4 Health Inc. may from time to time revise these Terms of Use by updating this posting. You should, therefore, periodically visit this page to review the current Terms of Use, so you are aware of any such revisions to which you are bound.
